📄 Investment Contract
This Investment Contract (hereinafter referred to as the “Contract”) is entered into between the investor (individual or legal entity), hereinafter referred to as the “Investor,” and LIT.AM, hereinafter referred to as the “Company.”
1. Subject of the Contract
The Company attracts investment funds to implement the LIT.AM project—a digital platform integrating a social network, marketplace, and AI/CRM solutions. The Investor provides investment funds in exchange for a stake in the Company, determined based on the selected share percentage.
2. Rights and Obligations of the Parties
- The Investor undertakes to:
- Provide investment funds in the amount specified in the application.
- Review the business plan and project risks.
- Comply with the terms of this Contract and applicable legislation.
- The Company undertakes to:
- Use the investment funds solely for the project’s purposes as per the business plan.
- Ensure the Investor’s participation in profit distribution proportional to their stake.
- Provide reports upon the Investor’s request within reasonable timeframes.
3. Investment Terms
- The minimum investment amount is $1,000,000 (one million US dollars).
- The stake size is determined by the selected share percentage (from 1% to 45%).
- Payment of investment funds is made in a single transaction after signing the Contract.
- The Company reserves the right to refuse acceptance of investments without explanation.
4. Investor’s Rights
- Receive information on the project’s progress and financial results.
- Participate in profit distribution in accordance with the stake.
- Access the Company’s internal documents related to investments.
5. Liability of the Parties
- The Parties are liable for non-fulfillment or improper fulfillment of their obligations in accordance with applicable legislation.
- The Company is not liable for potential losses of the Investor related to investment risks or changes in market conditions.
6. Force Majeure
The Parties are exempt from liability for partial or complete non-fulfillment of obligations under this Contract if such non-fulfillment results from force majeure circumstances, including but not limited to natural disasters, military actions, government acts, and other unforeseen circumstances.
7. Confidentiality
The Parties undertake to maintain the confidentiality of information obtained during the execution of this Contract and not disclose it to third parties without the written consent of the other Party, except as required by law.
8. Dispute Resolution
All disputes and disagreements arising from or in connection with this Contract shall be resolved through negotiations between the Parties. If an agreement cannot be reached, disputes shall be resolved in the courts at the Company’s location.
9. Term of the Contract
This Contract takes effect upon the Investor’s submission of the application and remains in force until the Parties fully fulfill their obligations.
10. Miscellaneous
- Any amendments or additions to the Contract are valid only if made in writing and signed by both Parties.
- The Investor confirms that they have reviewed the Contract’s contents, understand the risks, and agree to its terms, as confirmed by submitting the application.
